1. Introduction and Acceptance
These Terms govern the relationship between SuperKey Private Limited (“SuperKey”, the “Company”, “we”, “us” or “our”) and any person or entity accessing our website, placing an order, purchasing a product or using a service.
By using a service, placing an order or selecting an acceptance control where provided, you acknowledge these Terms to the extent applicable to your transaction. Where affirmative acceptance is required, merely visiting the website will not substitute for that acceptance.
If you accept these Terms for an organisation, you represent that you have authority to bind that organisation. If you do not agree to the applicable Terms, do not proceed with the relevant purchase or use of the service.
Electronic communications, order records and electronic contracts may be used to document transactions where permitted by applicable law.

3. Definitions
- “Customer” or “you”: A person or entity accessing or purchasing our products or services.
- “Products”: Digital products, software, licences, physical goods or other items offered for purchase.
- “Services”: Development, consulting, hosting, maintenance, marketing, support, subscription and other services offered by the Company.
- “Order”: A purchase request submitted through an authorised sales channel.
- “Project Agreement”: A quotation, proposal, statement of work, service agreement or other written document defining a specific project.
- “Third-Party Service”: A service, platform, API, licence, hosting provider, payment provider or product operated by another entity.
4. Scope of Products and Services
Depending on availability and the specific offer, the Company may provide:
- Website, web application, software and mobile application development.
- IT consulting, technical support, maintenance and training.
- Cloud services, hosting, domain-related services and integrations.
- Digital marketing, SEO, graphic design and UI/UX services.
- AI-enabled workflows, automation, CRM, ERP and related technology services.
- Digital products, downloadable files, software licences and online resources.
- Electronics and other physical products where listed for sale.
- Subscriptions, bundled packages, promotional offers and related services.
The actual scope of a transaction is determined by the relevant product listing, checkout summary, order confirmation, licence terms, quotation or Project Agreement. A service not expressly included in the agreed scope should not be treated as included merely because it is technically possible.
5. Eligibility and Authority
You must have the legal capacity required to enter into the relevant transaction under applicable law. Where a transaction requires a parent, guardian or authorised representative, that requirement must be met.
If you purchase on behalf of a business, you are responsible for ensuring that the business details and the authority of the person placing the order are accurate.
6. Website Use and Acceptable Conduct
You must not use the website or services to:
- Violate applicable laws, regulations, court orders or third-party rights.
- Commit fraud, impersonation, deceptive conduct or payment abuse.
- Upload or distribute malware, malicious scripts or harmful content.
- Attempt unauthorised access to accounts, servers, systems or data.
- Interfere with the availability, integrity or security of our services.
- Copy, resell, distribute or exploit protected materials without permission.
- Scrape, harvest or misuse personal data without lawful authority.
- Use the services to transmit unlawful, infringing or fraudulent material.
- Circumvent technical protections, access controls or licence restrictions.
We may investigate credible violations and take proportionate action, including restricting access, preserving relevant records or reporting matters where required by law. Such action remains subject to applicable legal obligations.
7. Accounts and Account Security
Certain services may require an account or verified contact information. You must provide accurate information and take reasonable steps to protect your account credentials.
- Keep passwords and authentication credentials confidential.
- Do not share payment PINs, CVVs, banking passwords or OTPs with unauthorised persons.
- Notify us promptly if you suspect unauthorised access or account compromise.
- Maintain accurate contact details for service notices and order updates.
Responsibility for activity carried out through an account will be assessed under applicable law and the facts of the incident. Nothing in this section automatically makes a customer liable for activity caused by the Company’s own failure or by circumstances for which the Company is legally responsible.
8. Orders and Order Confirmation
Product descriptions, availability, prices and applicable conditions will be displayed through the relevant sales channel. Please review the order summary before submitting an order.
- Submitting an order constitutes a request to purchase under the terms displayed for that transaction.
- An automated receipt acknowledgement may not itself constitute final acceptance where verification or confirmation is still pending.
- Acceptance may be communicated through an order confirmation, invoice, dispatch notice, activation or another clear confirmation method.
- We may contact you to clarify order details, verify a payment or resolve a material listing or availability issue.
- If an order cannot be fulfilled, we will communicate this where reasonably possible and arrange any refund due under applicable terms and law.
We will not rely on a technical or listing error to retain payment for goods or services that cannot be supplied where a refund is due.
9. Pricing, Taxes and Invoices
The applicable price, taxes, delivery charges, recurring fees and optional add-ons will be displayed before order confirmation, as required by law. Where an offer states that the price includes applicable taxes, that representation will apply to the displayed offer.
- The amount payable is the amount shown in the order summary before payment is confirmed, subject to lawful correction of an evident error.
- Invoices and tax documents will be issued as required by applicable law.
- If a material pricing or listing error is discovered, we may contact you to correct the error or cancel the affected order and arrange any refund due.
- We will not impose undisclosed mandatory charges after order confirmation except where permitted by applicable law and the transaction terms.
10. Payments and Payment Security
Available payment methods may include UPI, cards, net banking, wallets, bank transfer or other methods supported at checkout. Availability depends on the payment provider and transaction.
- You authorise the payment amount shown for the order you confirm.
- Payment processing may be performed by a third-party payment provider under its own terms and security procedures.
- Never send your full card details, CVV, PIN, banking password or OTP by email or support message to obtain a normal refund.
- If a payment is failed, pending, duplicated or unrecognised, contact support with the transaction reference and contact your bank or payment provider where appropriate.
- We will investigate issues within our control and follow applicable payment-system requirements.
These Terms do not remove any refund, reversal or compensation rights available under applicable law or payment-system rules.
11. Subscriptions and Recurring Billing
Subscriptions may be offered for daily, weekly, monthly, yearly or other stated periods. The relevant plan must specify its price, billing interval, renewal terms, included features and cancellation process.
- Recurring charges must be based on the applicable authorisation and subscription terms disclosed before purchase.
- Where auto-renewal is available, the renewal frequency and amount should be disclosed before the customer authorises recurring payment.
- You may cancel through the stated cancellation method or by contacting support@superkey.in if self-service cancellation is unavailable.
- Cancellation generally stops future renewals when it becomes effective. Access may continue until the end of the paid period, subject to plan terms.
- Cancellation does not automatically refund a period already started or service already supplied unless the plan terms or applicable law provide otherwise.
- Incorrect, duplicate or unauthorised charges will be investigated under the relevant rules and law.
12. Digital Products and Software Licences
Digital products may include software, themes, templates, plugins, downloadable files, documentation, licence keys and other electronically supplied content.
- Review supported platforms, technical requirements, features, usage limits, licence duration and support entitlements before purchase.
- Unless expressly permitted by the applicable licence or law, you must not redistribute, resell, sublicense or publicly share licensed materials.
- You must not bypass access controls or remove proprietary notices without authorisation.
- Delivery may occur through a download link, account access, activation key, email or another method stated at purchase.
- We may restrict access where credible evidence of licence abuse, unlawful activity or a serious security risk exists, subject to applicable terms and law.
Digital-product refunds and remedies are governed by the Refund & Returns Policy, the terms disclosed before purchase and applicable law.
13. Software Development and Project Agreements
Website development, software development, mobile applications, design, automation, consulting, marketing and other professional services may require a separate quotation, proposal, statement of work or Project Agreement.
Where relevant, the Project Agreement should define:
- Scope, deliverables, milestones and acceptance criteria.
- Fees, taxes, payment schedule and agreed advance payments.
- Timelines, dependencies, approvals and customer responsibilities.
- Revision limits, change requests and additional work charges.
- Source code, intellectual property ownership and licence rights.
- Hosting, third-party subscriptions, maintenance and support.
- Testing, handover, documentation and post-launch responsibilities.
Work outside the agreed scope may require a written change request, revised fee or revised timeline. Material additional chargeable work should not be undertaken without appropriate customer approval, except where a prior agreement or applicable law permits it.
Customer delays, missing content, incomplete instructions, late approvals or unavailable access may affect delivery schedules where relevant. We will use reasonable efforts to communicate material delays and dependencies.
14. Customer Content, Files and Data
You are responsible for materials, content, instructions, images, trademarks, files and data that you provide or upload for a project or service.
- You must have the necessary rights and permissions to provide those materials and authorise their use for the agreed purpose.
- You must not provide unlawful, infringing, malicious or unauthorised content.
- You should maintain independent backups of important files and business data unless backup services are expressly included in the agreement.
- You should avoid sending sensitive information unless it is necessary for the service and an appropriate secure method is available.
You retain rights in your pre-existing materials. You grant the Company only the limited rights reasonably required to provide the agreed products or services, subject to the Project Agreement and applicable law.
15. Intellectual Property Ownership
The Company’s website, branding, logos, text, graphics, software, documentation and other original materials are owned by or licensed to the Company unless otherwise stated.
- You may use Company materials only for permitted purposes and under any applicable licence.
- You must not reproduce, distribute, modify, sell or commercially exploit protected materials without authorisation, except where permitted by law.
- Third-party components, open-source software, fonts, stock assets and APIs may be subject to separate licence terms.
- Ownership of custom source code, designs, deliverables and project-specific intellectual property will be determined by the applicable written agreement and payment terms.
- Where transfer of ownership is agreed, the agreement should identify the relevant deliverables, any exclusions and the point at which the transfer takes effect.
Payment for a project does not automatically transfer ownership of all pre-existing Company tools, reusable components, third-party software or separately licensed materials unless the agreement expressly provides for that transfer and it is legally possible.
16. Confidentiality
During a project, either party may receive non-public business, technical, commercial or operational information belonging to the other party.
Where information is reasonably identified as confidential or should reasonably be understood to be confidential, the receiving party should use it only for the agreed purpose, take reasonable steps to protect it and disclose it only to persons who need it for that purpose or where disclosure is legally required.
Confidentiality obligations do not apply to information that is lawfully public, already lawfully known without restriction, independently developed without use of the confidential information or lawfully received from another source without a confidentiality duty.
A separate non-disclosure agreement or Project Agreement may impose additional confidentiality obligations. Where applicable, those terms will govern the information and subject matter they specifically cover.
17. Third-Party Services and Integrations
Our services may integrate with third-party hosting providers, domain registrars, cloud platforms, APIs, payment providers, advertising networks, software vendors and other external services.
- Third-party services may have separate terms, prices, privacy practices and service limitations.
- Customers may need to create or maintain their own third-party accounts or pay separate provider fees.
- Changes to an external API, provider policy, licence or platform may affect functionality or require additional work.
- Where a third-party outage or change affects an agreed service, we will use reasonable efforts to communicate material impacts and assist where included in the scope.
We are not responsible for independent third-party actions beyond our reasonable control, except to the extent that we have expressly accepted responsibility or applicable law imposes an obligation on us.
18. Hosting, Domains and Renewals
Hosting, domain registration, cloud infrastructure, SSL certificates and similar services may be governed by third-party registration, renewal, transfer and suspension policies.
- Customers should confirm domain ownership, registration details, renewal dates and account access arrangements.
- Applicable renewal fees and third-party charges should be disclosed where relevant.
- Late payment or expiry may lead to suspension or loss of a service under the relevant provider’s rules.
- Where the Company manages a third-party service, our responsibilities are limited to the agreed scope and obligations imposed by applicable law.
19. Delivery, Testing and Acceptance
Delivery methods and estimated timelines will be stated in the relevant listing, order confirmation or Project Agreement.
For custom projects, the parties should agree on a reasonable review process, acceptance criteria and a method for reporting material defects. Any deemed acceptance provision must be clearly agreed in advance and will not remove mandatory rights under applicable law.
Where a deliverable does not materially meet the agreed scope, the customer should provide reasonable details of the issue. The Company will assess the issue and provide the correction, re-performance or other remedy required by the agreement and applicable law.
20. Promotions, Discounts, Bonuses and Cashback
Promotional campaigns may include discounts, bonus items, bundled packages, cashback or other benefits. The offer terms shown at the time of purchase determine eligibility, usage deadlines and benefit calculations.
- Minimum purchase, qualifying usage, redemption deadlines and benefit limits should be clearly disclosed in the relevant offer.
- Offers cannot be combined unless the applicable terms permit it.
- We may investigate credible evidence of duplicate claims, automated abuse or material misrepresentation.
- We may correct a genuine technical or clerical error subject to any binding obligation and applicable law.
- Any adjustment to cashback or bonus benefits following a cancellation or return must follow the disclosed offer terms and applicable law.
We will not retrospectively change a material offer condition to remove a benefit already earned under a binding offer, except where a lawful correction or remedy is necessary.
21. Refunds, Returns and Cancellations
Refunds, returns, replacements, failed payments and subscription cancellations are governed by our Refund & Returns Policy, the relevant product terms and applicable law.
A refund request is assessed against the transaction, product or service status, applicable terms and evidence. This section does not guarantee that every purchase is refundable and does not exclude any remedy required by law.
22. Marketing and Communications
We may send necessary transactional or service communications, including order confirmations, invoices, delivery updates, renewal notices, security alerts and support responses.
Marketing communications by email, SMS, WhatsApp or other channels will be handled according to applicable consent, preference and opt-out requirements. Where an opt-out is available, you may use it for promotional messages without necessarily stopping essential service or security communications.
23. Privacy and Data Protection
Our handling of personal information is described in the Privacy Policy. We may process information necessary to fulfil orders, deliver services, process payments, provide support, maintain security, prevent fraud and meet legal obligations, subject to applicable law.
Where separate notice or consent is legally required, these Terms do not replace that notice or consent. We will handle personal information in accordance with the applicable legal requirements and our published policies.
24. Security and Service Availability
You must not attempt to compromise the confidentiality, integrity or availability of our systems or those of another user.
Prohibited activities include unauthorised access, credential theft, malicious code, denial-of-service attacks, unauthorised vulnerability testing, access control circumvention and deliberate service disruption.
We may take proportionate measures to investigate credible security risks, restrict affected access, preserve relevant records and notify affected persons or authorities where required by law.
No online system can be guaranteed to be completely secure or continuously available. We will take reasonable measures appropriate to the relevant service and applicable obligations, but do not guarantee absolute or 100% security, uninterrupted availability or immunity from all cyber incidents.
25. Suspension and Termination
You may stop using our website or services at any time. Subscription cancellation and project termination are governed by the applicable plan terms, Project Agreement and Refund & Returns Policy.
We may suspend or terminate access where reasonably necessary because of material breach, credible fraud, unlawful activity, serious security risk, non-payment or a legal requirement.
Where appropriate and legally permitted, we will provide notice and an opportunity to resolve the issue. Any outstanding payment, refund, data handling, licence or continuing obligation will be determined under the relevant agreement and applicable law.
26. Disclaimers and Service Outcomes
General website content is provided for informational purposes and may change. Unless expressly stated in a written agreement, the Company does not guarantee a particular revenue outcome, advertising result, search ranking, conversion rate, business result or third-party platform outcome.
Technical results may depend on customer instructions, supplied materials, external platforms, infrastructure, device compatibility, market conditions and other factors outside our reasonable control.
Any express warranty, service-level commitment or performance guarantee must be stated in the applicable product terms or written agreement. Nothing in these Terms excludes a guarantee or right that cannot lawfully be excluded.
27. Limitation of Liability
Nothing in these Terms excludes or limits liability where that exclusion or limitation is prohibited by applicable law.
To the extent legally permitted, the Company will not be liable for indirect or consequential losses that were not reasonably foreseeable, or for delays caused solely by independent third parties beyond our reasonable control. This does not exclude any obligation expressly accepted by the Company or any mandatory legal responsibility.
Where a lawful liability cap is appropriate for a business-to-business transaction, it should be expressly set out in the applicable written agreement, including its scope, exclusions and exceptions. These general Terms do not establish a universal monetary cap for every transaction.
28. Indemnity
To the extent permitted by law, you may be responsible for reasonable direct losses and costs caused by your unlawful conduct, infringement of third-party rights or material breach of an applicable agreement.
This provision does not require you to indemnify the Company for losses caused by the Company’s own breach, unlawful conduct or liability that cannot lawfully be transferred to you. Any specific business indemnity should be stated in the relevant written agreement.
29. Force Majeure
To the extent permitted by law, neither party will be treated as having breached an obligation solely because performance is delayed by an event beyond that party’s reasonable control, such as a natural disaster, war, widespread network outage, government restriction or major third-party infrastructure failure.
The affected party should use reasonable efforts to reduce the impact and resume performance. This section does not excuse payment obligations already due or remove a refund or other remedy required by applicable law.
30. Complaints and Grievance Redressal
For questions or complaints, contact our support team with the order number, relevant dates and a description of the issue.
We aim to acknowledge consumer grievances within 48 hours and resolve them within one month of receipt where those timelines are required by applicable e-commerce rules. Any shorter mandatory deadline will take precedence.

31. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, subject to applicable conflict of law principles and mandatory consumer protections.
The parties are encouraged to contact each other in good faith to resolve disputes where practical. This does not prevent either party from approaching a competent court, consumer commission, regulator or other authority where permitted by law.
Nothing in these Terms restricts a consumer from approaching a forum or authority that applicable law permits them to use. Any jurisdiction provision in a separate business agreement applies only to the extent legally enforceable.
32. Changes to These Terms
We may update these Terms to reflect changes in our services, business practices or applicable law. The revised version will be published on this page with an updated effective date.
Changes will not retrospectively remove accrued rights or alter an existing order in a manner prohibited by law. Where notice or consent is legally required for a material change, we will take the required steps.
33. General Legal Provisions
- Entire agreement: These Terms, together with the applicable order, licence or Project Agreement, form the relevant agreement for the subject matter they cover.
- Order of precedence: For a specific transaction, a negotiated written agreement or product-specific term will govern the subject matter it expressly addresses, subject to mandatory law.
- Severability: If a provision is held invalid or unenforceable, the remaining provisions continue to apply to the extent legally possible.
- No waiver: A delay in enforcing a provision does not necessarily waive the right to enforce it later.
- Assignment: Neither party may transfer contractual obligations where prohibited by the applicable agreement or law.
- Independent parties: These Terms do not create a partnership, employment relationship, agency or joint venture unless expressly agreed in writing.
- Survival: Provisions that by their nature are intended to continue after termination, including accrued payment obligations, confidentiality, intellectual property and applicable dispute provisions, will continue to the extent legally enforceable.
- Electronic records: Electronic records and communications may be used to document transactions and notices where permitted by law.
